1) Scope of Application

1.1 These General Terms and Conditions (hereinafter referred to as "GTC") of the company magic multi media GmbH (hereinafter referred to as "Seller”) shall apply to all contracts concluded between a consumer or a trader (hereinafter referred to as "Client”) and the Seller relating to all products presented in the Seller's online shop. The inclusion of the Client’s own conditions is herewith objected to, unless other terms have been stipulated.

1.2 These GTC apply accordingly to the supply of digital content, unless expressly agreed otherwise. Digital content within the meaning of these GTC is data that is created and provided in digital form.

1.3 For contracts regarding the delivery of vouchers, these Terms and Conditions shall apply accordingly, unless expressly agreed otherwise.

1.4 These GTC apply accordingly to contracts for the provision of license keys, unless otherwise agreed. In this respect, the Seller owes the provision of a license key for the use of the digital content or digital services described by him (hereinafter "digital products") as well as the granting of the contractually agreed rights to use the respective digital products. The Client does not acquire any intellectual property rights to the digital product. The respective product description of the Seller is decisive for the quality of the digital product.

1.5 A consumer pursuant to these GTC is any natural person concluding a legal transaction for a purpose attributed neither to a mainly commercial nor a self-employed occupational activity.

1.6 A trader pursuant to these GTC is any natural or legal person or partnership with legal capacity acting in the performance of a commercial or self-employed occupational activity when concluding a legal transaction.

2) Conclusion of the Contract

2.1 The product descriptions in the Seller’s online shop do not constitute binding offers on the part of the Seller, but are merely descriptions which allow the Client to submit a binding offer.

2.2 The Client may submit the offer via the online order form integrated into the Seller's online shop. In doing so, after having placed the selected product in the virtual basket and passed through the ordering process, and by clicking the button finalizing the order process, the Client submits a legally binding offer of contract with regard to the product contained in the virtual basket.

2.3 The Seller may accept the Client’s offer within five days,
- by transferring a written order confirmation or an order confirmation in written form (fax or e-mail), insofar as receipt of order confirmation by the Client is decisive, or
- by delivering ordered products to the Client, insofar as receipt of products by the Client is decisive, or
- by requesting the Client to pay after placing his order.

The contract shall be concluded at the time when one of the aforementioned alternatives firstly occurs. Should the Seller not accept the Client's offer within the aforementioned period of time, this shall be deemed as rejecting the offer, with the effect that the Client is no longer bound by his statement of intent.

2.4 If a payment method offered by PayPal is selected, the payment will be processed by the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter referred to as "PayPal"), subject to the PayPal Terms of Use, available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full?locale.x=en_DE or, if the Client does not have a PayPal account, subject to the Terms for payments without a PayPal account, available at https://www.paypal.com/uk/webapps/mpp/ua/privacywax-full. If the Client pays by means of a method of payment offered by PayPal which can be selected in the online order process, the Seller hereby declares the acceptance of the Client's offer at the time when the Client clicks on the button concluding the order process.

2.5 When submitting an offer via the Seller's online order form, the text of the contract is stored by the Seller after the contract has been concluded and transmitted to the Client in text form (e.g. e-mail, fax or letter) after the order has been sent. The Seller shall not make the contract text accessible beyond this.

2.6 Prior to submitting a binding order via the Seller’s online order form, the Client may recognize input errors by attentively reading the information displayed on the screen. Use of the enlargement function of the browser to enlarge the display on the screen may be an effective method for better recognizing input errors.
The Client can correct all the data entered via the usual keyboard and mouse function during the electronic ordering process, until he clicks the button finalizing the ordering process.

2.7 The English language is exclusively available for the conclusion of the contract.

2.8 Order processing and contacting usually take place via e-mail and automated order processing. It is the Client’s responsibility to ensure that the e-mail address he provides for the order processing is accurate so that e-mails sent by the Seller can be received at this address. In particular, it is the Client`s responsibility, if SPAM filters are used, to ensure that all e-mails sent by the Seller or by third parties commissioned by the Seller with the order processing can be delivered.

3) Right to Cancel

3.1 Consumers are entitled to the right to cancel.

3.2 Detailed information about the right to cancel is provided in the Seller’s Refund Policy.

4) Prices and Payment Conditions

4.1 Unless otherwise stated in the product descriptions, prices indicated are total prices and include the statutory value-added tax. Any possible additional delivery and dispatch costs are specified separately in the respective product description.

4.2 Payment can be made using one of the methods mentioned in the Seller’s online shop.

4.3 If prepayment by bank transfer has been agreed upon, payment is due immediately after conclusion of the contract, unless the parties have arranged a later maturity date.

4.4 If the payment method "PayPal direct debit" is selected, PayPal collects the invoice amount from the Client's bank account on behalf of the Seller after a SEPA direct debit mandate has been issued, but not before the deadline for pre-notification has expired. Pre-notification means any communication (e. g. invoice, policy, contract) to the Client announcing a debit via SEPA direct debit. If the direct debit is not honored due to insufficient account coverage or due to the indication of an incorrect bank account, or if the Client objects to the debit, even though he is not entitled to do so, the Client shall bear the fees arising from the reversal of the respective bank, if he is responsible for this.

5.1 Digital content will be provided to the Client exclusively in electronic form as follows:

5.3 The Seller reserves the right to withdraw from the contract in the event of incorrect or improper self-supply. This only applies if the Seller is not responsible for the non-supply and if he has concluded a concrete hedging transaction with the supplier. The Seller shall make all reasonable efforts to obtain the products. In case of non-availability or partial availability of the products he shall inform the Client and grant him immediately counterperformance.

6) Granting Rights of Use for Digital Content

6.1 Unless otherwise stipulated in the description of contents displayed in the Seller's online shop, the Seller grants the Client the non- exclusive right, unlimited in relation to place and time to use the content supplied for private and professional purposes.

6.2 Passing on the content to third parties or making copies for third parties outside the scope of these General Terms and Conditions is not permitted, unless the Seller has consented to the transfer of the contractual license to the third party.

6.3 The granting of rights shall become effective only when the Client has fully paid the contractually owed remuneration. The Seller may also grant provisional permission to use the contractual content before this date. Such provisional authorization does not constitute a transfer of rights.

7) Granting Rights of Use for License Keys

7.1 The license key provided entitles the Client to use the software or content as described in the respective product description.

7.2 The granting of rights shall become effective only when the Client has fully paid the owed remuneration.

7.3 If the contract relates to the one-time provision of digital content, the granting of rights shall only become effective when the Client has paid the remuneration owed in full. The Seller may provisionally permit the use of the contractual content even before this time. Such provisional permission shall not constitute a transfer of rights.

8) Reservation of Proprietary Rights

8.1 If the Client is a consumer, the Seller retains title of ownership to the delivered products until the purchase price owed has been paid in full.

8.2 If the Client is a trader, the Seller reserves title to the products delivered until the fulfillment of all claims arising out of the current business relationship.

8.3 If the Client is a trader, he is entitled to resell the reserved products in the course of regular business operations. All claims resulting from such course of business against a third party shall herewith be assigned in advance to the Seller in the amount of the respective invoice value (including VAT). This assignment of claims shall be valid regardless of whether the reserved products are processed prior to or after resale or not. The Client remains entitled to collect the claims even after assignment. However, the Seller shall refrain from collecting the claims as long as the Client meets his payment obligations, he is not in default, and no application has been lodged to open insolvency proceedings.

9) Warranty Disclaimer

The products are provided "as is," with no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10) Limitation of Liability

The Seller shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, arising out of or in connection with the use or inability to use the product.

11) Redemption of Campaign Vouchers

11.1 Vouchers which are issued by the Seller free of charge, for a specific period of validity in the context of promotional activities and which cannot be purchased by the Client (hereinafter referred to as "campaign vouchers”) can be redeemed only in the Seller’s online shop and only within the indicated time period.

11.2 Individual products may be excluded from the voucher campaign, if such a restriction results from the conditions of the campaign voucher.

11.3 Campaign vouchers must be redeemed prior to the conclusion of the order procedure. Subsequent offsetting is not possible.

11.4 Only one campaign voucher can be redeemed per order.

11.5 The value of the products should at least be equal to the amount of the campaign voucher. The Seller will not refund remaining assets.

11.6 If the value of the campaign voucher is not enough for the order, the Client may choose one of the remaining payment methods offered by the Seller to pay the difference.

11.7 The campaign voucher credit will not be redeemed in cash and is not subject to any interest.

11.8 The campaign voucher will not be redeemed if the Client, in the context of his legal right to cancel, returns products paid fully or partially by a campaign voucher.

11.9 Campaign vouchers are only intended for the use of the person designated on the voucher. Transferring the campaign voucher to a third party is not permitted. The Seller is entitled but not obliged to check the entitlement of the respective voucher owner.

12) Applicable Law

The law of the Federal Republic of Germany shall apply to all legal relationships between the parties under exclusion of the laws governing the international purchase of movable goods. For consumers, this choice of law applies only to the extent that the granted protection is not withdrawn by mandatory provisions of the law of the country in which the consumer has his habitual residence.

13) Place of Jurisdiction

If the Client is a businessman, a legal entity of public law, or a separate estate under public law with its seat in the territory of the Federal Republic of Germany, the Seller’s place of business shall be the sole place of jurisdiction for all legal disputes arising from this contract. If the Client is domiciled outside the territory of the Federal Republic of Germany, the Seller’s place of business shall be the sole place of jurisdiction for all legal disputes arising from this contract,provided that the contract or claims from the contract can be assigned to the Client’s professional or commercial activities. In any event however, regarding the aforementioned cases, the Seller is entitled to appeal to the court which has jurisdiction over the area where the Client’s place of business is located.

14) Alternative Dispute Resolution

14.1 The EU Commission provides on its website the following link to the ODR platform: https://ec.europa.eu/consumers/odr.

This platform shall be a point of entry for out-of-court resolutions of disputes arising from online sales and service contracts concluded between consumers and traders.

14.2 The Seller is neither obliged nor prepared to attend a dispute settlement procedure before an alternative dispute resolution entity.

1) Eligibility for refunds:

1.1 Refund period: You have 14 days from the date of purchase to request a refund.

1.2 Reason for refund: If the software does not meet your expectations or you encounter issues that prevent you from using it as intended, you are eligible for a return.

1.3 Proof of purchase: Please provide your order number or receipt as proof of purchase when requesting a refund.

2) How to request a refund:

2.2 Deactivate and uninstall the software: Please ensure that the software is deactivated and uninstalled from all devices.

2.3. Refund process:
2.3.1 Approval:
Once your return is approved, we will process your refund within 1-5 business days.
2.3.2 Refund method: Refunds will be issued by our payment provider to the original payment method used during the purchase.
2.3.3 Confirmation: You will receive a confirmation e-mail with a credit note from our payment provider once the refund has been processed.

3) Exceptions:

3.1 Non-refundable items: Certain products, such as those with a limited-time license or subscription-based services, may not be eligible for a refund. These exceptions will be clearly stated at the time of purchase.

3.2 Abuse of policy: We reserve the right to deny returns in cases of abuse of our refund policy.

Equipped with a powerful Intel processor, plenty of RAM and super-fast hard disk storage to ensure quick start-up and quick access to media files and the EDIUS project database. More stable operation and smooth working are absolutely guaranteed thanks to the certified system. In addition, the EDIUS MOBILE WORKSTATION has 2x USB 3.1 and 2x Thunderbolt 4 compatible USB-C ports, enabling both fast data transfer with external devices and the use of high-quality external video hardware.

The exceptionally bright display with 500 nits has a timeline-friendly 16:10 ratio, and the resolution of 3,840x2,400 pixels is higher than UHD or 4K. The anti-reflective display has a thin frame and offers extraordinary color reproduction at up to 120 Hz that covers 100% of the DCI-P3 cinema color space - much more than a normal PC monitor. Up to 4 external monitors can be connected via HDMI 2.1, miniDP 1.4a and 2x Thunderbolt 4. Operating VR glasses is also possible without any problems. The super-fast integrated SD card reader allows the fastest access to media files. Further data exchange can be carried out wirelessly via NFC, Bluetooth 5.4 and super-fast Wi-Fi 7, but of course there is also a classic gigabit network connection. The laptop has dual stereo speakers with exceptionally good sound for a laptop and stereo microphones as well as a 5MP webcam.

The keyboard of the EDIUS MOBILE WORKSTATION is a special highlight - thanks to the colored backlight in the truest sense of the word. In the same color design as the EDIUS professional keyboard V2, the individual keyboard shortcuts are designed according to function colors: light blue for navigation, yellow for markers, gray for trimming functions, red for recording and output, dark blue for multicam, purple for editing functions, etc. This makes it quick and comfortable to work with EDIUS - even in difficult lighting conditions. The keyboard is available with English, German or French layout. A large touchpad with 3 buttons is also integrated and the scope of delivery includes a Bluetooth mouse that can even be used across devices, as well as a matching EDIUS 11 mouse pad.

The laptop is also extremely robust and has even been tested according to the US military standard MIL-STD 810H. The battery has a quick charge function and can be charged to 50% in just 30 minutes. One of the USB ports also has a charging function for mobile phones and other devices and also works when the laptop is switched off. The laptop can be charged via the power connection with the included power adapter - or via the Thunderbolt 4 charging function via one of the two Thunderbolt 4 ports.
